1Acceptance of Terms

By accessing and using the sendmsg.io platform and its associated services ("Service"), you accept and agree to be bound by these Terms and Conditions ("Terms"). The Service is owned and operated by Authyra Technologies LLP (www.authyra.com), a limited liability partnership registered in India.

These Terms apply to all users of the Service, including without limitation individual users, businesses, API consumers, and any person or entity that accesses or uses the platform in any capacity. If you do not agree to these Terms, you must not use the Service.

Authyra Technologies LLP reserves the right to update or modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. Material changes will be communicated via email or in-platform notification.

2Service Description

Sendmsg.io is a multi-channel messaging platform operated by Authyra Technologies LLP. The Service provides the following capabilities:

• Transactional email delivery via SMTP relay, including OTP codes, receipts, order confirmations, and system notifications
• Marketing email campaigns with activity-level isolation, ensuring that the reputation of one campaign does not affect another
• Built-in Reputation Shield reputation management system featuring a 5-level graduated freeze system (Normal, Warn, Throttle, Freeze, Paused) that automatically protects your sending reputation
• Domain warmup with conservative daily sending limits that grow progressively as ISP trust is established, with dedicated handling for new domains under 30 days
• REST API with SDKs for programmatic email sending, enabling integration with your applications and workflows
• Template management using the Unlayer drag-and-drop editor and custom HTML templates
• Contact management with group segmentation, list management, and soft-delete support
• Real-time analytics and delivery reporting, including open rates, click rates, bounce tracking, and complaint monitoring
• SMS messaging for transactional and promotional communications
• WhatsApp messaging for business communications

The platform operates across dedicated sending infrastructure distributed across multiple IP pools. Each sending domain is monitored with a 0-100 health score. The system automatically adjusts sending speed based on real-time bounce and block signals, and daily sending limits are dynamically calculated based on domain reputation, historical performance, and ISP feedback. New domains undergo a structured warmup period with fixed sending tiers that increase as deliverability is proven.

Authyra Technologies LLP reserves the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. Planned maintenance windows will be communicated in advance where possible.

3User Responsibilities

As a user of the Service, you are responsible for the following:

• Providing accurate and complete account information, including valid business details and contact information
• Maintaining the confidentiality and security of your account credentials, API keys, and SMTP credentials
• Complying with all applicable anti-spam legislation, including CAN-SPAM (United States), GDPR (European Union), and any other relevant data protection and electronic communication laws in your jurisdiction
• Obtaining verifiable opt-in consent from all recipients before sending marketing or promotional emails; transactional emails must be limited to messages that recipients reasonably expect to receive
• Configuring valid sender domains with proper DNS authentication records, including SPF, DKIM, and DMARC, before sending any messages through the platform
• Not sending to purchased, rented, scraped, or harvested email lists; all contacts must be organically collected with proper consent
• Maintaining bounce rates below 3% and complaint (spam report) rates below 0.1% across all sending activity; failure to maintain these thresholds may result in automatic throttling or suspension by the Reputation Shield system
• Promptly processing unsubscribe requests and honoring opt-out preferences within the timeframes required by applicable law
• Including a valid physical mailing address and a clear unsubscribe mechanism in all marketing emails

4Prohibited Uses

The following activities are strictly prohibited when using the Service:

• Sending spam, unsolicited bulk email, or any messages to recipients who have not provided explicit consent
• Phishing, spoofing, or impersonating another person, organization, or domain in email headers, sender addresses, or message content
• Sending messages from unverified or unauthenticated domains that have not been properly configured in the platform
• Intentionally circumventing, manipulating, or attempting to bypass sending limits, speed throttling, reputation controls, or the Reputation Shield freeze system
• Using the Service to distribute malware, viruses, ransomware, or any harmful or malicious content
• Sending content that promotes illegal activities, violence, harassment, threats, or hate speech
• Violating the intellectual property rights of any third party through the content of messages sent via the Service
• Using the Service to collect, harvest, or aggregate personal data without proper legal basis
• Attempting to probe, scan, or test the vulnerability of the Service infrastructure, or breaching any security or authentication measures
• Reselling, sublicensing, or redistributing access to the Service without prior written authorization from Authyra Technologies LLP

Violation of any of these prohibitions may result in immediate account suspension, permanent termination, forfeiture of any prepaid balances, and reporting to relevant authorities where applicable. The Reputation Shield system may also automatically restrict or freeze sending capabilities in response to detected violations.

5Payment Terms

The following terms govern payments for the Service:

• All fees are denominated and charged in Indian Rupees (INR)
• Payments are processed by Razorpay on behalf of Authyra Technologies LLP; by making a payment, you also agree to Razorpay's terms of service
• Subscription plans are available with monthly and annual billing cycles; annual plans may offer a discounted rate compared to monthly billing
• A free tier is available with limitations on sending volume, features, and support; specific free tier limits are detailed on the pricing page
• Usage that exceeds your plan's included volume will be charged as overages at the rates specified in your plan details
• Subscription renewals are automatic unless cancelled before the end of the current billing period
• Refunds are handled on a case-by-case basis in accordance with our refund policy; unused credits from prepaid plans are generally non-refundable
• Authyra Technologies LLP reserves the right to modify pricing with 30 days' advance notice; existing subscriptions will be honored at the current rate through the end of their billing cycle
• Applicable taxes, including GST, will be added to all charges as required by Indian law

6Intellectual Property

All intellectual property rights in the sendmsg.io platform, including but not limited to the Reputation Shield reputation management technology, the graduated freeze system, domain health scoring algorithms, sending infrastructure, user interface designs, documentation, APIs, and all related systems, are and shall remain the exclusive property of Authyra Technologies LLP.

Your use of the Service does not grant you any ownership rights in the platform, its technology, or its underlying systems. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms and your subscription plan.

You retain ownership of all content, templates, contact data, and messages that you create or upload to the platform. By using the Service, you grant Authyra Technologies LLP a limited license to process, store, and transmit your content solely for the purpose of providing the Service.

The sendmsg.io name, logo, and all related product names, branding, and visual identity are trademarks of Authyra Technologies LLP and may not be used without prior written permission.

7Limitation of Liability

To the maximum extent permitted by applicable law, Authyra Technologies LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunities, goodwill, or other intangible losses arising from your use of the Service.

Authyra Technologies LLP's total aggregate liability for any claims arising under these Terms or in connection with the Service shall not exceed the total amount paid by you for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

Authyra Technologies LLP does not guarantee specific delivery rates, inbox placement, or email deliverability outcomes. While the Reputation Shield system is designed to optimize and protect sending reputation, delivery ultimately depends on recipient ISP policies, content quality, sender reputation history, and factors outside of our control.

8Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and the data you process through the platform.

Authyra Technologies LLP processes contact data, email content, and messaging metadata solely for the purpose of providing the Service. We do not sell, rent, or share your contact lists or message content with third parties for their marketing purposes.

Analytics data, including delivery events, open rates, click rates, bounce data, and complaint metrics, is collected and stored to power the Reputation Shield reputation system and to provide you with reporting and insights. This data is retained in accordance with our data retention policies.

9Account Suspension and Termination

Authyra Technologies LLP may suspend or terminate your account under the following circumstances:

• Violation of these Terms, including prohibited uses and user responsibility requirements
• Persistent high bounce rates (above 3%) or complaint rates (above 0.1%) that are not remediated after notification
• Three consecutive domain or account freezes triggered by the Reputation Shield system, which results in an automatic Paused state
• Non-payment of outstanding invoices after the grace period specified in your plan
• Activity that poses a risk to the platform's shared sending infrastructure or the reputation of other users

Upon termination, your right to use the Service ceases immediately. You may request an export of your contact data and templates within 30 days of termination. After 30 days, Authyra Technologies LLP reserves the right to delete all account data.

10Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or controversies arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.

In the event of any dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation for a period of 30 days before initiating formal legal proceedings.
